PulseAI. Skills Matrix

Specific Terms of Use 

These PulseAI Specific Terms of Use (the PulseAI Terms) apply to your use of the PulseAI skills matrix web platform at app.upleashed.org, and the PulseAI mobile applications for Apple iOS and Google Android (together, PulseAI).

PulseAI is provided by Upleashed Limited, a company registered in the Isle of Man (Upleashed, we, us, our). 

These PulseAI Terms sit alongside and supplement our general Terms of Use at https://upleashed.com/terms/ and our Privacy Policy at https://upleashed.com/privacy/ (together, the Core Terms).  The Core Terms continue to apply in full. If there is any conflict between the Core Terms and these PulseAI Terms, these PulseAI Terms will govern your use of PulseAI.

(the PulseAI Terms Page). 

By creating an account, accessing, or using PulseAI in any way, you agree to be bound by these PulseAI Terms, the Core Terms, and any additional terms presented in the app or at sign up. If you do not agree, you must not use PulseAI.

1. Definitions

In these PulseAI Terms:

  1. Organisation means the company, institution, public body, or other legal entity that creates an Organisation Account to use PulseAI for its workforce or learners.

  2. Organisation Account means the master level account in PulseAI that is controlled by an Organisation and under which teams and users are created.

  3. Team Leader means an individual user who has been given permission under an Organisation Account to view, create, edit, or report on skills data for a team, project, department, or similar grouping.

  4. Team Member means an individual user whose skills, ratings, or development plans are recorded in PulseAI, whether they self assess, are assessed by others, or both.

  5. Authorised User means any natural person who accesses or uses PulseAI as an Organisation, Team Leader, or Team Member under an Organisation Account, or who purchases and uses PulseAI in an individual capacity.

  6. You means the Organisation or individual who accepts these PulseAI Terms. Where an Organisation allows its personnel to use PulseAI, you also includes your Authorised Users.

  7. Skills Data means skills, capabilities, ratings, comments, role definitions, competency frameworks, development actions, and similar information about Authorised Users that is entered into PulseAI.

  8. Content means all information, data, text, images, reports, and other material that you or your Authorised Users submit to, or generate in, PulseAI, including Skills Data.

  9. Insights means analysis, suggestions, development roadmaps, dashboards, and other output generated by or through PulseAI, including by any AI models used within the service.

  10. Subscription means the paid or trial plan that allows access to PulseAI for a defined period, number of seats, feature set, or other usage limits, as agreed with us.

Capitalised terms not defined in these PulseAI Terms have the meanings given in the Core Terms.

2. Who may use PulseAI

2.1 Business use. PulseAI is designed for use by organisations for skills visibility, workforce planning, and development. Where an individual purchases PulseAI directly, you are treated as both the Organisation and an Authorised User for the purposes of these PulseAI Terms. 

2.2 Age. PulseAI is not intended for children under 13 years of age. You must not allow anyone under 13 to create an account or be added as an Authorised User. If you permit use by anyone under 18, you are responsible for ensuring that such use complies with local employment, education, and data protection laws, and that appropriate consents are in place. 

2.3 Authority. By creating or administering an Organisation Account, you confirm that you have authority to bind the Organisation to these PulseAI Terms and the Core Terms. You also confirm that you will ensure all Team Leaders and Team Members are made aware of these PulseAI Terms and comply with them.

3. Relationship with your Organisation and data roles

3.1 Organisation as primary account holder. For Organisation Accounts, the Organisation is the primary contracting party and is responsible for all activity under its Organisation Account, including actions taken by Team Leaders and Team Members. 

3.2 Responsibility for instructions. We will act on instructions that appear to come from an Organisation’s nominated administrators, Team Leaders, or other Authorised Users, and we are entitled to treat those instructions as authorised unless we know they are not. 

3.3 Data protection roles. Our collection and use of personal data in PulseAI is described in our Privacy Policy. That policy explains when we act as a controller and when we act in accordance with your organisation’s instructions. You must ensure that any use of PulseAI by your Organisation and Authorised Users complies with all applicable data protection laws, including transparency, lawful basis, and fairness requirements. 

3.4 Employment and HR responsibilities. PulseAI is a skills and capability support tool. It does not replace your own HR, performance management, or learning and development processes. You remain fully responsible for how Skills Data and Insights are used within your Organisation, including any employment, promotion, remuneration, or disciplinary decisions that you make.

4. Account creation and security

4.1 Organisation Account creation. To use PulseAI as an Organisation, you must create an Organisation Account on the web platform or via another sign up route we provide. You must provide accurate and up to date information during registration and keep it current. 

4.2 User invitation and access. Organisation Accounts allow you to invite Team Leaders and Team Members by email, magic link, single sign on, or other methods we support. You are responsible for granting, reviewing, and revoking access for Authorised Users. 

4.3 Credentials and security. Each Authorised User must keep their login details confidential and must not share them with any other person. You are responsible for any activity that occurs under your accounts. You must notify us promptly at support@upleashed.com if you suspect unauthorised access, compromise of credentials, or any security incident relating to PulseAI. 

4.4 Technical requirements. You are responsible for obtaining and maintaining any devices, operating systems, and network connections needed to access PulseAI, and for all associated charges. We do not guarantee that PulseAI will work on every device or operating system version, and we may update supported platforms from time to time.

5. Licence to use PulseAI

5.1 Limited licence. Subject to these PulseAI Terms and payment of all applicable fees, we grant you and your Authorised Users a limited, non exclusive, non transferable, revocable licence to access and use PulseAI for your internal skills management and workforce development purposes during the term of your Subscription. 

5.2 Restrictions. You must not, and must ensure that Authorised Users do not: 

a. copy, modify, adapt, translate, or create derivative works of PulseAI or any part of it, except as permitted by law that cannot be excluded.

b. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, architecture, or underlying models of PulseAI, except to the extent that such restriction is prohibited by applicable law.

c. resell, rent, lease, sublicense, or otherwise make PulseAI available to any third party, except to Authorised Users within your Organisation as permitted under your Subscription.

d. access PulseAI to build a competing product or service, or to benchmark or evaluate PulseAI in a way that is reasonably likely to harm our commercial interests.

e. remove, obscure, or alter any proprietary notices, trademarks, or branding on or in PulseAI. 

5.3 Reservation of rights. Except for the limited licence above, no rights or licences are granted to you in relation to PulseAI. We and our licensors retain all rights, title, and interest in and to PulseAI, including all software, algorithms, AI models, designs, features, and documentation.

6. Acceptable use and prohibited activities

6.1 General acceptable use. You must ensure that all use of PulseAI is lawful, fair, and consistent with these PulseAI Terms, the Core Terms, and any policies we publish from time to time. 

6.2 You must not use PulseAI to: 

a. upload, store, or process any Content that is unlawful, defamatory, discriminatory, abusive, obscene, or otherwise harmful.

b. harass, intimidate, or unfairly disadvantage any Team Member, applicant, contractor, or other individual.

c. discriminate or enable discrimination on any unlawful ground, including protected characteristics such as age, disability, race, religion, sex, sexual orientation, or other similar status.

d. make, or support others to make, automated decisions with legal or similarly significant effects on individuals, without appropriate human review and safeguards.

e. process special category data or other highly sensitive personal data (such as health data, trade union membership, political opinions, biometric data, or criminal records), unless this is strictly necessary, lawful, and you have implemented all required safeguards and obtained all necessary consents or authorisations.

f. attempt to bypass or interfere with the security or operation of PulseAI, including by probing, scanning, or testing the vulnerability of any system or network, or by introducing malware, viruses, or other harmful code.

g. overload, interfere with, or disrupt PulseAI or the systems that support it, for example by excessive automated requests or bulk data scraping.

h. use PulseAI in any way that would breach sanctions, export control restrictions, or similar regulatory requirements. 

6.3 Compliance with AI‑specific laws. You are responsible for assessing how your use of PulseAI is affected by AI regulation in your jurisdictions, including the EU Artificial Intelligence Act and any similar UK or international rules. You must not attempt to use PulseAI for any AI practices that are prohibited by law, and you must implement any transparency, human oversight, or impact assessment measures required for your specific use cases.

7. AI functionality and your responsibilities

7.1 Use of AI models. PulseAI uses artificial intelligence to generate skill suggestions, ratings support, development roadmaps, dashboards, and other Insights. These features may rely on models we build, models we configure from third parties, or a combination of both. 

7.2 Probabilistic outputs. AI outputs are inherently probabilistic and may sometimes be incomplete, inconsistent, or incorrect. Insights are intended to assist human decision makers, not to replace them. You must always apply professional judgement and context, verify results where appropriate, and sense check outputs before relying on them. 

7.3 No professional advice. PulseAI does not provide legal, HR, financial, medical, or other regulated professional advice. Any guidance or Insights are generic and should not be treated as authoritative advice for specific decisions about individuals or your organisation. You remain responsible for seeking appropriate professional advice when needed. 

7.4 Human in the loop. Our design is to support human oversight of Skills Data and Insights. You must ensure that Authorised Users do not treat AI generated scores or Insights as the sole basis for any decision that has a legal or similar significant effect on an individual, such as hiring, promotion, dismissal, or disciplinary action. 

7.5 Monitoring and logging. We may log interactions with AI features, including prompts and outputs, for security, audit, abuse detection, and service improvement. These logs are handled in line with our Privacy Policy.

8. Skills Data, Content, and privacy

8.1 Ownership of Content. As between you and us, you retain all rights in the Content you and your Authorised Users submit to PulseAI. You grant us a worldwide, non exclusive, royalty free licence to host, use, copy, process, transmit, and display that Content, and to generate Insights from it, solely for the purposes of providing, maintaining, securing, and improving PulseAI and our related services, and as otherwise described in our Privacy Policy. 

8.2 Aggregated and anonymised data. We may create aggregated, anonymised, or de identified data from Content and usage of PulseAI. That derived data will not identify you or any individual and may be used by us for analytics, benchmarking, research, and product development. We own all rights in such anonymised or aggregated data. 

8.3 Accuracy and fairness of Skills Data.

- Organisation and Team Leaders are responsible for ensuring that Skills Data they enter is relevant, proportionate, and recorded in a fair and non discriminatory way.

- Team Members are responsible for providing honest and accurate self assessments where PulseAI allows or invites them to do so.
You must not deliberately manipulate ratings or Insights to achieve unfair outcomes for any individual or group. 

8.4 Third party data. If you enter Skills Data about individuals who are not your employees (for example, contractors or learners), you must ensure you have a lawful basis and appropriate transparency in place to process their data in PulseAI. 

8.5 Privacy Policy. Our handling of personal data, including categories of data, purposes, retention, security measures, and data subject rights, is set out in our Privacy Policy, which is incorporated into these PulseAI Terms by reference. By using PulseAI, you confirm that you have read that policy and will communicate its key points to your Authorised Users where required.

9. Role specific responsibilities

9.1 Organisation responsibilities The Organisation must: 

a. ensure that it has an appropriate lawful basis to process personal data in PulseAI and to share it with us.

b. ensure that its internal policies on performance, learning and development, and equality are updated to reflect the use of PulseAI where necessary.

c. configure roles, permissions, and team structures so that Team Leaders and Team Members only see data that is appropriate for their duties.

d. review Team Leader access rights regularly and remove access promptly when a person changes role or leaves the Organisation.

e. respond to data subject requests from its own staff and ensure that any instructions given to us about data are lawful.

f. ensure that use of PulseAI is consistent with any applicable collective bargaining arrangements, works council agreements, or staff consultation requirements. 

9.2 Team Leader responsibilities Each Team Leader must: 

a. only access and use Skills Data for the teams or projects they manage or are authorised to oversee.

b. keep all Skills Data confidential and handle it in line with the Organisation’s policies and these PulseAI Terms.

c. use ratings, comments, and development plans in a measured and professional way, avoiding inappropriate language or unfair bias.

d. explain to Team Members how Skills Data and Insights will be used in their area, in line with the Organisation’s policies.

e. promptly report any incorrect data, security concerns, or suspected misuse of PulseAI to the Organisation and, where relevant, to us. 

9.3 Team Member responsibilities Each Team Member must: 


a. keep login details secure and not share them with other people, even within the same team.

b. provide honest information when self assessing skills or updating development plans.

c. use Insights and development plans as guidance only and discuss them with their manager or HR if they have concerns.

d. avoid attempting to access Skills Data for others unless they have been given permission by the Organisation.

10. Fair usage, limits, and performance

10.1 Fair usage. Marketing materials for PulseAI may refer to unlimited teams, projects, or skills, subject to fair usage. Unlimited means we do not impose a hard cap within normal organisational use patterns. We reserve the right to apply technical or contractual limits, throttle usage, or request that you reduce usage if your activity:

- materially exceeds that of comparable customers on a sustained basis,

- risks degrading the performance of PulseAI for other users, or

- appears to involve automated scraping, bulk export, or similar non standard use.

10.2 Storage and retention. We may apply reasonable technical limits on storage and retention in line with our Privacy Policy and internal data management policies. We may archive or delete inactive accounts and data after a reasonable period, with or without notice, provided this is consistent with our legal obligations. 

10.3 Backups. We operate backups and disaster recovery procedures, but we do not guarantee that any particular item of Content or Skills Data can be recovered. You are responsible for exporting and backing up any reports or records you are required to retain.

11. Fees, subscriptions, and trials

11.1 Fees and billing. Fees, billing cycles, and payment methods for PulseAI are described at the point of purchase or in your order form, and form part of these PulseAI Terms. Unless we state otherwise, all fees are exclusive of taxes, which you are responsible for paying. 

11.2 Auto renewal. Where your Subscription renews automatically, you authorise us to charge the applicable fees at the then current rates at the start of each renewal period, unless you cancel in accordance with the cancellation process notified to you. 

11.3 Trials and free tiers. We may offer PulseAI on a free, trial, or promotional basis. We may impose additional limits on such access and may withdraw or modify a free or trial offer at any time. At the end of a trial, your access may cease or convert into a paid Subscription if you choose to continue. 

11.4 Non payment. If you do not pay fees when due, we may suspend or downgrade your access to PulseAI, restrict certain features, and ultimately terminate your Subscription, in line with the Core Terms. 

11.5 Refunds. Unless required by law or specified otherwise at the time of purchase, fees for PulseAI are non refundable once access has been granted.

12. Intellectual property in PulseAI and frameworks

12.1 PulseAI and scoring framework. PulseAI, including its 0 to 5 skills rating framework, algorithms, and mapped processes, is built on research and methodologies developed by or for Upleashed. These remain our intellectual property. You may use the frameworks within PulseAI as part of your Subscription but you must not copy them into a competing product or publish them in a way that allows others to do so without our permission. 

12.2 Your frameworks. Where you upload your own competency frameworks, role profiles, or other materials into PulseAI, you confirm that you have the rights to use them and to grant us the licence described in clause 8.1. We do not claim ownership of your frameworks. 

12.3 Feedback. If you provide feedback, ideas, or suggestions about PulseAI, you grant us a perpetual, irrevocable, royalty free licence to use that feedback for any purpose, including improving or marketing our services, without any obligation to you.

13. Service availability, changes, and beta features

13.1 Availability. We aim to keep PulseAI available and functioning, but we do not guarantee uninterrupted or error free service. We may carry out maintenance, updates, or other work that temporarily affects availability. Where reasonably possible, we will schedule planned maintenance outside peak business hours and give notice via our status page, app notifications, or email. 

13.2 Changes to features. PulseAI is an evolving product. We may add, change, or remove features, interfaces, or integrations from time to time. Where a change is material and adverse to you, we will give reasonable notice and, where appropriate, discuss options with you. 

13.3 Beta or early access features. We may offer certain features as beta, preview, or early access. These may be less stable or complete than other parts of PulseAI and are provided on an experimental basis. We may change or withdraw beta features at any time. You should not rely on them for critical processes.

14. Third party services and app stores

14.1 Third party integrations. PulseAI may integrate with or link to third party services, such as HR systems or learning platforms. Your use of those services is subject to the terms of the relevant third party, and we are not responsible for their content, availability, or performance. 

14.2 Apple App Store and Google Play. When you download PulseAI from the Apple App Store or Google Play, your use of the app may also be governed by the terms of those platforms, including any standard end user licence they provide. The platform providers are not responsible for providing support for PulseAI and have no liability for its performance, except where required by law. You agree that the platform providers are third party beneficiaries of these PulseAI Terms in relation to the mobile app and may rely on them where relevant.

15. Confidentiality

15.1 Confidential information. Each party may receive confidential information from the other in connection with PulseAI, including non public technical, business, or personnel information. Each party will use such information only for the purposes of providing or using PulseAI, will protect it with reasonable care, and will not disclose it to third parties except to those who need to know it and are bound by similar confidentiality obligations, or as required by law. 

15.2 Skills Data. Skills Data is confidential to you and your Organisation. We will treat it as confidential and will only use or disclose it as described in these PulseAI Terms, the Core Terms, and our Privacy Policy.

16. Warranties and disclaimers

16.1 Your warranties. You warrant that: 

a. you have all rights, permissions, and consents necessary to use PulseAI and to provide Content, including Skills Data.

b. your use of PulseAI will comply with all applicable laws, regulations, and codes of practice, including those relating to employment, equality, and data protection. 

16.2 Our disclaimers. To the fullest extent permitted by law, PulseAI is provided on an “as is” and “as available” basis. We do not warrant that PulseAI will be error free, uninterrupted, or free of vulnerabilities, or that it will meet your specific requirements. All implied warranties, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non infringement, are excluded. 

16.3 No guarantee of outcomes. We do not guarantee any particular outcome from your use of PulseAI, such as increased productivity, improved employee engagement, or reduced risk. Any case studies or testimonials are illustrative only and do not form part of these PulseAI Terms.

17. Liability and indemnity

17.1 Limitation of liability. The limitation of liability provisions in the Core Terms apply to your use of PulseAI. In addition, and without limiting those provisions, we will not be liable for any loss or damage arising from: 

a. employment, HR, or similar decisions you make in reliance on Skills Data or Insights.

b. inaccuracies or omissions in Skills Data entered by you or your Authorised Users.

c. your failure to configure appropriate access controls within your Organisation Account.

d. your failure to comply with applicable law in relation to your use of PulseAI.

17.2 Indemnity by Organisations. The Organisation agrees to indemnify and hold harmless Upleashed and its directors, officers, employees, and contractors from and against any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with: 

a. any claim by an employee, contractor, or other individual that relates to your use of PulseAI, including use of Skills Data or Insights in HR or management decisions.

b. any breach by the Organisation or its Authorised Users of these PulseAI Terms, the Core Terms, or applicable law. 

Nothing in these PulseAI Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

18. Suspension and termination

18.1 Suspension. We may suspend or restrict access to PulseAI, in whole or in part, immediately and without liability, if: 

a. we reasonably believe you or any Authorised User has breached these PulseAI Terms, the Core Terms, or applicable law.

b. your use of PulseAI poses a security risk, operational risk, or legal risk to us, our infrastructure, or other users.

c. you fail to pay fees when due. We will, where reasonably possible, notify you of the reasons for suspension and work with you in good faith to resolve the issue. 

18.2 Termination. Your Subscription to PulseAI may be terminated in accordance with the Core Terms or any specific Subscription agreement. On termination or expiry: 

a. your licence to use PulseAI ends immediately.

b. we may delete or anonymise Skills Data and other Content from our systems after a reasonable period, in line with our Privacy Policy and legal obligations.

c. you may request export of certain data, if this is available within the product or agreed in writing, provided all fees are paid.

19. Changes to these PulseAI Terms

19.1 Updates. We may update these PulseAI Terms from time to time, for example to reflect changes in law, regulation, best practice, or the design of PulseAI. The updated version will be posted on the PulseAI Terms Page, with a new “Last updated” date. 

19.2 Notification. Where changes are material, we will take reasonable steps to bring them to your attention, which may include notifications in the app, by email, or via our website. 

19.3 Continued use. Your continued use of PulseAI after the updated PulseAI Terms are posted on the PulseAI Terms Page constitutes your acceptance of the changes. If you do not agree to the updated PulseAI Terms, you must stop using PulseAI and, if you are an Organisation, contact us to discuss your options.

20. Governing law and jurisdiction

These PulseAI Terms, and any disputes or claims (including non contractual disputes or claims) arising out of or in connection with them or your use of PulseAI, are governed by the laws of the Isle of Man, without regard to conflict of laws principles.

You agree that the courts of the Isle of Man will have exclusive jurisdiction over any such disputes or claims, subject to any mandatory rights you may have under applicable law.
